Plan.AI Engagement & Implementation Terms

These Implementation Terms (the “Implementation Terms”) apply to the setup, onboarding, and training services (the “Implementation Services”) provided by Thor.AI Group Pty Ltd ("Thor.AI", "we", "us") for your Plan.AI platform.

These Implementation Terms are a schedule to and form a part of your Engagement Agreement (the "Main Agreement"). By signing your Engagement Agreement and commencing the Pilot Program, you (“Customer,” “you”) agree to be bound by these terms.

1. Implementation Services & Scope

Thor.AI will provide the Implementation Services as outlined in your Engagement Agreement (the "Scope"). This service is a one-time engagement designed to architect your platform, migrate specified data, and train your core team.

A dedicated Plan.AI Specialist will be assigned to manage your implementation. Unless otherwise specified in the Scope, all Implementation Services are delivered remotely for a maximum term of eight (8) weeks.

In-Scope Services The Implementation Fee covers the following services:

  • Portal and dashboard setup

  • Client portal setup

  • SOA & ROA templates

  • Access to Thor AI Advice Library

  • Access to Thor AI Changement Digital Training

  • Custom workflows & task management

  • Preferred product selections

  • Customer branding

  • Three (3) x 90-minute training sessions

Out-of-Scope Services Any services not explicitly listed as "In-Scope Services" are considered out-of-scope. These services may be available as an "Additional Service" subject to additional fees (see Section 5).

2. Your Obligations

A successful launch is a shared mission. To ensure the implementation is completed efficiently and within the maximum term, you agree to:

  • Appoint a "Project Champion": Designate a primary contact from your team who is authorised to make decisions, coordinate your resources, and act as the central point of communication.

  • Be Actively Engaged: Be actively engaged during the entire implementation process to achieve ‘go-live’ within the maximum term.

  • Provide Timely Access & Data: Provide all necessary data, documentation, and system access required for integration and data migration, in the formats and timeframes reasonably specified by us.

  • Ensure Team Availability: Ensure your key personnel are available to attend all scheduled strategy, configuration, and training sessions as outlined in the Scope.

  • Maintain Technical Competency: Ensure your team members involved in the implementation are competent with computers and windows technology.

  • Respond Promptly: Respond to requests from the Thor.AI team within 24-48 hours.

  • Complete Assigned Tasks: Perform your assigned tasks, such as data validation and provision of feedback, in a timely manner.

3. Fees & Payment

The fee for the Implementation Services ("Implementation Fee") is specified in your Engagement Agreement and is billed upfront.

The Implementation Fee is non-refundable once the Implementation Services have commenced.

4. Ongoing Usage Fees & Payment Terms

Following the initial onboarding, the ongoing fee for platform usage is $200 per advice document created or supported by the platform.

A minimum monthly spend of one SOA per advisor per month will apply post-implementation.

Fees will be accrued monthly and invoiced on or around the 1st business day of each month for the previous month on 14 day payment terms.

5. Delays & Additional Services

Any timelines provided in the Scope are good-faith estimates and are dependent on your timely fulfillment of your obligations (as defined in Section 2). Thor.AI is not responsible for any delays caused by your failure to provide necessary data, feedback, or personnel.

If the implementation is delayed by more than 30 days due to your team's lack of availability or failure to complete your obligations, Thor.AI reserves the right to pause the implementation and/or charge additional fees at our standard professional services rate to remobilize the project.

Furthermore, if you request services that fall outside the original Scope, these will be classed as Additional Services and will be subject to additional fees, quoted separately. Examples of Additional Services include, but are not limited to:

  • Data Migration

  • Custom API Integration

  • Additional Training Sessions (virtual or on-site)

  • "Train the Trainer" Programs

  • Creation of Custom Training Materials (videos, guides)

  • Advanced Consulting (e.g., Change Management, Performance Analytics)

  • Adoption & Engagement Monitoring

6. Completion & Acceptance of Services

The Implementation Services shall be deemed complete and accepted by you upon the "Go-Live Date" specified in your Scope, or 30 days after the final scheduled training session, whichever is earlier.

Upon this acceptance, your platform subscription will be considered fully live, and you will be transitioned to our standard support channels as defined in your Engagement Agreement.

7. Cancellation

You may cancel the Implementation Services at any time by providing written notice to Thor.AI.

As the Implementation Fee is only refundable during the implementation phase after as such, no portion of the fee will be refunded. If you cancel after commencement but before full payment has been received, all fees specified in the Engagement Agreement for the Implementation Services become immediately due and payable.

8. Data Security

Through the undertaking of this engagement PlanAi may need to store information within an online cloud environment to develop the generative AI tools. We have the following policies for handling this data.

  • Platform Data Security: Data within the online cloud environment must be securely stored in an Azure SQL database. This is commonly known as Data at Rest. All data, including backups and temporary files, will be encrypted using Azure’s FIPS 140-2 validated cryptographic module employing an AES 256-bit cipher. Data must also be encrypted during transit, secured through TLS 1.2.

  • Data Retention: We will only retain information essential for our web application's functionality. Personal information capture for users is limited.

  • Data Security in relation to AI Models: When generative AI is used, data will be transmitted to OpenAI for processing through Large Language Models (LLMs). Notably, your data is not utilized to train any AI models, either by OpenAI and PlanAi . Data sent to OpenAI will be encrypted using TLS 1.2 and stored at rest using AES-256 for a 30-day period, in alignment with OpenAI's data privacy policies.

9. Confidentiality

In conducting this engagement, information acquired by us during the engagement is subject to strict confidentiality requirements. That information will not be disclosed by us to other parties except as required and allowed for by law, or with your express consent.

Accepted uses of the information provided by you to us during the course of this engagement are as follows:

  • Benchmarking performance data between practices (subject to your opt-in as noted in the Engagement Agreement)

10. Intellectual Property

Intellectual property remains the property of each party. No transfer of intellectual property is permissible under this agreement (of PlanAi, you, or your customers).

All intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, and any other rights arising from the development of the AI tool and online platform, shall be owned exclusively by PlanAi Pty Ltd, including the AI tool(s) developed. You acknowledge and agree that all such intellectual property rights, including any modifications, improvements, or derivatives thereof, shall be the sole and exclusive property of PlanAi Pty Ltd, and you shall have no rights or claims to such intellectual property rights unless otherwise agreed upon in writing by both parties.

11. General Terms

These Implementation Terms are governed by the same laws, disclaimers, and limitations of liability as set out in your Main Agreement. In the event of any conflict between these Implementation Terms and the Main Agreement, the terms of the Main Agreement will prevail.
